- Agreement on scope, deliverables, pricing, and timelines

All materials developed by and/or used by Meta IT are proprietary and the sole property of Meta IT or its licensors unless otherwise stated.

Any custom deliverables provided under a paid engagement are governed by the applicable agreement.
Client Responsibilities
By accepting to work with us (“Meta IT”), you agree to the following:
- You will provide us with accurate, complete and timely responses and submissions.
- You will ensure ownership or rights to any content you supply
- You will respond to our requests for on-going approval of your content, feedback and/or other requests in a timely manner.
- You will comply with all applicable laws in your use of materials provided to you.
Delays caused by incomplete information or non-cooperation may affect timelines and outcomes.
Payments & Fees
All fees, payment schedules, and billing terms are outlined in individual proposals or contracts.
Unless otherwise stated:
- Payments are non-refundable once Services commence
- Late payments may result in stopped/paused services
- Meta IT reserves the right to pursue recovery of unpaid amounts
All prices are exclusive of applicable taxes unless stated otherwise.
Confidentiality
Both parties will treat all disclosed non-public business, technical or proprietary information exchanged during an engagement as confidential.
Except for:
- Prior written consent.
- As required by law.
- To authorized service providers bound by confidentiality obligations.
This obligation survives termination of Services.
AI, Automation & Technology Use
Meta IT has the right to use AI-driven tools and automated systems for analytics, development, personalization, security and/or optimization.
You acknowledge that:
- Any AI outputs represent advice only, and do not constitute guarantees.
- Human oversight will continue to be part of the decision-making process.
- An AI-driven system cannot be used as a substitute for either professional judgement or legal advice.
You may request limitations on the processing of your data by AI, if applicable.
No Guarantees or Performance Assurances
Meta IT uses best practice industry standards and methodologies which are proven to work. However, we do not guarantee:
- Specific revenues, rankings, conversions or results.
- Search engine rankings or algorithm behavior
- Third-party platform performance or availability
Outcomes may also be affected by market conditions, competitive activity and other factors that are outside of our control, therefore results could vary.
Third-Party Services & Links
Our Services may integrate or link to third-party tools, platforms, or websites.
Meta IT is not responsible for:
- Third-party content, policies, or performance
- Data handling practices of external providers
Use of third-party services is at your own risk.
Limitation of Liability
To the extent allowed by law, Meta IT is not liable for loss of profits, data, or business opportunities, indirect, incidental, or consequential damages; as well as interruptions in service, delays in delivery, or system failures. Our total liability shall not exceed the amount paid to Meta IT for the specific Services giving rise to the claim.
Indemnification
You agree to indemnify and keep Meta IT, its affiliates, employees, and partners harmless from all claims, losses, and damages resulting from:
- Your misuse of the Services
- Your breach of these Terms of Service
- You're infringing on any third party's rights.
Termination
At any time, Meta IT reserves its right to suspend or terminate your Services for violating these Terms of Service.
If your account with Meta IT is terminated:
- Outstanding fees remain payable
- Confidentiality and IP provisions remain in effect
Governing Law & Jurisdiction
These Terms of Service are governed by and construed under the applicable laws where Meta IT performs its Services, regardless of the conflicting law principles that may apply. Any disputes shall be resolved in the appropriate courts of competent jurisdiction.
Modifications to These Terms
Meta IT reserves the right to change these Terms of Service at any time. Any changed Terms of Service will be reflected on this page, and continued use of the Services constitutes acceptance of the new/edited Terms of Service.
